Anti-Corruption — Your Obligations
Zero Tolerance
You are bound by Brazil's Lei Anticorrupção (Law 12,846/2013), Lei da Improbidade Administrativa, and Canada's Corruption of Foreign Public Officials Act (CFPOA) — which applies to MachenTagar as a Canadian corporation and extends to its agents abroad. No facilitation payments of any kind. No payments to any government official. Ever. Any violation terminates this agreement immediately, forfeits all unpaid commission, and may result in criminal liability in both Canada and Brazil. If anyone asks you to make a payment to facilitate procurement, refuse and report immediately to legal@machentagar.ca.

You are the Procuring Cause of a deal — and entitled to commission — if you (1) made the initial documented introduction of the institutional client to MachenTagar, and (2) maintained active engagement throughout negotiation and execution.

The Parties
Principal: 15988730 Canada Inc. (MachenTagar Research Institute), incorporated under the Canada Business Corporations Act, Ontario, Canada.
Agent: Simone de Souza, Brasilia, DF, Brazil.
Term
2-year Initial Term from the Effective Date. Auto-renews for 1-year periods unless 60-day written notice of non-renewal is given. Either party may terminate without cause on 90 days written notice.
Territory
Federative Republic of Brazil — non-exclusive. Becomes exclusive territory automatically if you close 2 institutional deals totalling CAD $30,000+ within 12 months.
Governing Law
Province of Ontario, Canada. Disputes: good faith negotiation → ADR Institute of Canada mediation → binding arbitration (London, Ontario). New York Convention applies to enforcement.
Your Status
Independent contractor — not an employee, partner, or joint venturer. No employment relationship. You are responsible for your own Brazilian taxes, INSS, and social contributions.
IP — You Own Nothing
No MachenTagar IP is transferred to you. You have a limited, revocable licence to use approved marketing materials during the term — and only for the purposes of this agreement. You cannot sublicense MachenTagar IP.
What You Cannot Do

Confidentiality
All MachenTagar pricing, product specifications, client lists, strategic plans, technical documentation, and business methods are strictly confidential. You may not disclose them to any third party. This obligation survives termination for 5 years.
